Good Standing
When you formed your company you gave birth to a brand new bouncing baby LLC or corporation. In the eyes of the law, your company is treated like a separate person. If legal action is brought against the company, the law typically requires that the documents be served on the company. The registered agent is the person who receives those legal notices on behalf of the company. We serve as the registered agent for the LLC or corporation. We will receive the legal notices on behalf of the company and forward them to you. We’ll help you find an attorney to represent your company if necessary.
The law also requires that the company file an annual or biennial report to the state where it was formed. The report confirms or updates its mailing and physical address, the names and addresses of owners, and other items as required by each state. The law also requires that this information be updated between reports. We file those updates for you.
Federal BOI Report
Almost all small businesses are required to file a BOI report with the US Department of Treasury’s Financial Crimes Enforcement Network to combat money laundering, shell companies, and corruption. The report includes the company’s full legal name, d/b/a names, complete US address, jurisdiction of formation, and tax ID. It also includes the following information for each owner who owns more than 25% in the company: full legal name, date of birth, current home address, passport or driver’s license number and a copy of the passport or driver’s license. We file your BOI report and update it with FINCen.
